Terms and Conditions
These Terms and Conditions govern use of the Trade Realm website and establish the general conditions applicable to inquiries and consulting services. A signed proposal, statement of work, or service agreement may contain additional terms and will control for that engagement if there is a conflict.
1. Acceptance of terms
By accessing or using this website, you agree to these Terms and Conditions and applicable law. If you use the website on behalf of a business, you represent that you are authorized to act for that business. If you do not agree, do not use the website or submit an inquiry.
2. Business and service scope
Trade Realm provides trade consulting relating to import and export operations, documentation processes, landed-cost planning, Incoterms, supplier and counterparty review, supply-chain scenarios, and trade compliance workflows. The exact scope, deliverables, schedule, assumptions, exclusions, price, and payment terms will be stated in the applicable proposal or agreement.
3. Important service boundaries
Unless expressly agreed in writing and legally permitted, Trade Realm does not act as a customs broker, freight carrier, freight forwarder, insurer, bank, money transmitter, investment adviser, tax adviser, accounting firm, or law firm. Information and recommendations are provided for business planning and do not replace licensed legal, tax, accounting, customs, financial, engineering, laboratory, or safety advice.
4. No guarantee of clearance or outcome
International trade outcomes depend on facts and decisions controlled by clients, suppliers, carriers, brokers, banks, insurers, ports, regulators, and government authorities. Trade Realm does not guarantee classification, admissibility, customs clearance, duty treatment, permit approval, route availability, transit time, payment processing, supplier performance, regulatory approval, cost savings, or any particular commercial result.
5. Website information
Website content is general information and may not reflect current requirements for a particular product, route, jurisdiction, transaction, or date. Prices shown on the website are planning baselines, not binding offers. Trade rules and operating conditions can change, and users must confirm shipment-specific requirements with responsible licensed parties and authorities.
6. Consultation form
The supplied consultation form operates entirely in the browser: it checks completion, displays a local reference, and clears the form. It does not transmit a request. An on-screen confirmation is not proof that Trade Realm received, accepted, or agreed to perform work. No engagement exists until both parties complete the agreed acceptance process.
7. Client responsibilities
- Provide accurate, complete, timely, and lawfully obtained information.
- Disclose relevant changes to products, parties, values, origins, destinations, end uses, schedules, and documents.
- Review deliverables and raise questions promptly.
- Make final commercial decisions and obtain required professional advice.
- Maintain required licenses, registrations, approvals, records, and internal controls.
- Ensure that instructions and proposed transactions comply with applicable law.
8. Prohibited instructions
Trade Realm will not knowingly assist with evasion of sanctions, export controls, customs duties, taxes, licensing requirements, banking controls, anti-money-laundering rules, or other legal obligations. We may decline, suspend, or terminate work where information is incomplete, the requested activity is outside scope, or a legal, ethical, safety, or reputational concern cannot be resolved.
9. Fees, estimates, and third-party costs
Fees and payment schedules will be stated in writing. Unless expressly included, fees do not cover government charges, duties, taxes, legal services, customs brokerage, freight, insurance, travel, translations, testing, certification, storage, demurrage, inspection, or other third-party costs. Estimates depend on the information available and may be revised when scope or assumptions change.
10. Changes in scope
Requests outside the agreed scope, additional product groups, new jurisdictions, materially increased document volume, expedited timing, or new deliverables may require a written change in scope and additional fees. Trade Realm is not required to begin expanded work until the change is accepted.
11. Confidentiality
Each party should protect non-public business information received from the other and use it only for the intended engagement, subject to agreed terms and applicable law. Confidentiality does not apply to information already lawfully known, independently developed, publicly available without breach, received lawfully from another source, or required to be disclosed by law.
12. Intellectual property
Trade Realm retains ownership of pre-existing methods, frameworks, templates, know-how, and generalized materials. After payment of all applicable fees, the client may use engagement-specific deliverables internally for the purpose described in the agreement. Unless expressly authorized, materials may not be resold, published, distributed as professional advice to third parties, or used to train a competing product or service.
13. Third-party information and services
Deliverables may rely on client-provided information and information from carriers, databases, websites, government publications, or other sources. Trade Realm will apply reasonable professional judgment but does not control those sources and is not responsible for their outages, delays, inaccuracies, or later changes. Third-party services are governed by their own terms.
14. Limitation of liability
To the maximum extent permitted by applicable law, Trade Realm will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, or for lost profits, lost revenue, lost opportunity, loss of data, cargo delay, demurrage, storage, government action, supplier default, or business interruption arising from website use or services. Any direct liability will be limited as stated in the applicable service agreement.
15. Indemnification
To the extent permitted by law, you agree to be responsible for claims, losses, and costs resulting from your unlawful use of the website, your breach of these terms, materially inaccurate information you provide, or transactions conducted contrary to applicable law or written advice.
16. Suspension and termination
Website access or services may be suspended or terminated for non-payment, misuse, security risk, abusive conduct, failure to cooperate, prohibited activity, unresolved compliance concerns, or material breach. Rights and obligations intended to survive termination—including payment, confidentiality, intellectual property, disclaimers, and liability limitations—will continue.
17. Governing law and disputes
Unless a signed agreement states otherwise, these terms are governed by the laws applicable in Arizona, United States, without regard to conflict-of-law principles. Before filing a formal claim, the parties should make a good-faith effort to resolve the issue through written notice and direct discussion. Mandatory rights and jurisdiction rules that cannot legally be waived remain unaffected.
18. General provisions
If any provision is held unenforceable, the remaining provisions remain effective and the invalid provision will be interpreted as closely as permitted to its intended purpose. Failure to enforce a provision is not a waiver. You may not assign your rights without written consent where consent is legally permitted to be required. These terms and any applicable signed agreement form the complete agreement on their subject matter.
19. Changes
These Terms and Conditions may be updated to reflect changes in the website, services, business practices, or law. The current version is identified by the “Last updated” date. Continued use after an update constitutes acceptance where permitted by law.
